PUBLIC OFFER AGREEMENT
FOR THE PROVISION OF WELLNESS SERVICES

IMPORTANT: Payment of any invoice or service by the Customer constitutes full and unconditional acceptance of this Agreement and replaces the signing of bilateral Acts of Acceptance and physical signatures of the Parties.
Individual Entrepreneur TIMUR DZHAKHID, registered under the laws of Georgia (Registration date: 31/08/2023, registration number: B23122602; TIN: 306430369, registering authority: LEPL National Agency of Public Registry), hereinafter referred to as the "Contractor", hereby publishes this Public Offer addressed to any individual (hereinafter referred to as the "Customer").
1. SUBJECT OF THE AGREEMENT & ACCEPTANCE PROCEDURE
1.1. The Contractor undertakes to provide, and the Customer undertakes to pay for and accept information-consulting, wellness and development services (hereinafter — "Services").
1.2. This Agreement is a public offer. Full and unconditional acceptance of the terms of this offer is the execution of payment (full or partial) by the Customer for the selected Service.
1.3. Payment for the Service (including cash payments outside Georgia, electronic payment systems, or bank transfers) is recognized by the Parties as an actual acceptance of the Agreement, replacing the signing of bilateral Acts of Acceptance and physical signatures.
1.4. This agreement is valid worldwide, including the territory of Georgia, the European Union (EU), the Russian Federation (RF), North American countries (USA, Canada), Asia, and Australia.
2. LIMITATION OF LIABILITY & NON-MEDICAL STATUS
2.1. The Services provided under this Agreement are of an exclusively informational, advisory, wellness, and recreational nature.
2.2. The Services DO NOT constitute medical activity, do not include medical counseling, therapy, diagnosis, prescription of drugs, manual therapy, or medical rehabilitation. The Services are not subject to medical licensing in Georgia, EU countries, or other jurisdictions.
2.3. The Contractor is not the Customer's attending physician. The Customer independently bears full responsibility for the state of their physical and mental health. In the presence of chronic diseases or acute medical contraindications, the Customer must consult with their doctor before starting to receive the Services.
3. SETTLEMENT PROCEDURE & PRICE FIXING
3.1. Prices for Services have the form of framework tariffs "from" and are fixed in Appendix No. 1. The final cost and currency (EUR, USD, RUB, etc.) for each Customer are approved individually by the Contractor in the issued Invoice.
3.2. Payment of the issued Invoice means the Customer's full agreement with the final cost of the specific Service.
3.3. For the purpose of the Contractor's tax reporting in Georgia, the received currency is converted into Georgian Lari (GEL) at the official exchange rate of the National Bank of Georgia on the date of payment or enrollment.
APPENDIX No. 1 TO THE PUBLIC OFFER
Specification and Cost of Services
1. Personal Life & Wellness Coaching Session
Format: Verbal consulting (online/offline): oral consultations, lifestyle analysis, mental accompaniment, habit correction.
Cost: from 150 EUR (or equivalent in USD, RUB)
2. Personal Bodywork Wellness Session
Format: Bodywork practice (offline): non-contact or contact physical culture and wellness relaxation sessions, muscle tension relief. Excludes medical massage.
Cost: from 150 EUR (or equivalent in USD, RUB)
3. Offline Group Training
Format: Informational and practical intensive (offline): group event in a lecture-and-practice format on wellness topics.
Cost: from 250 EUR (or equivalent in USD, RUB)
4. Personal Mentorship Program
Format: Comprehensive verbal consulting: long-term individual support, development of personal health strategies and regular feedback.
Cost: from 600 EUR (or equivalent in USD, RUB)
5. Offline Wellness Retreat
Format: Offline Program (Retreat): a complex of lecture (verbal consulting) and practical wellness activities within an organized group trip.
Cost: from 800 EUR (or equivalent in USD, RUB)
